PLEASE READ THE FOLLOWING TERMS CAREFULLY AS THEY GOVERN YOUR USE OF AXIS TERMINAL SERVICES.

These Terms of Use are entered into between you (hereinafter referred to as "you" or "your"), as User, and, on the other side, AXIS SOCIETY FLD SRL, a Romanian company, with its registered office at 27-33 Nerva Traian Street, Entrance B, 1st Floor, District 3, Bucharest, 031044, Romania, registered with the Trade Registry under no. J2025065290005, having tax identification code 52410879 (hereinafter referred to as "us", "we", or "Axis Terminal"), as the operator of the Axis Terminal.

Acceptance of Terms. By accessing our website and using our Services, you fully acknowledge that you have read, understood, and accepted to be bound by these terms and conditions, which shall form a legally binding agreement between you and Axis Terminal (hereinafter referred to as "Terms").

Additional Terms. When you decide to access, test or use specific features described or available on the Platform, you may be subject to specific additional terms and conditions that will be displayed in the corresponding section and must be accepted before accessing those features.

Who we are and how to contact us

Who Is Axis Terminal. Axis Terminal is an educational and informational research platform designed to help users better understand listed companies and financial markets, conduct their own research and analysis, and form independent investment judgments based on the information and tools made available through the Platform.

Definitions

"Applicable Law" means any binding legal provision applicable in Romania, including but not limited to laws, statutes, regulations, codes, ordinances, norms, court decisions, orders, decrees, or any other normative or administrative acts, decisions, requirements, recommendations, interpretations, or applications by a public authority in Romania, regardless of whether it has a binding effect.

"Consumer Protection Policy" means the document setting out the consumer rights applicable to the use of the Services, available in our Consumer Notice.

"MiFID II" means Directive 2014/65/EU of the European Parliament and of the Council of 15 May 2014 on markets in financial instruments and amending Directive 2002/92/EC and Directive 2011/61/EU.

"Patreon" means the third-party membership and subscription platform through which Users may access and manage the subscription required to use the Platform.

"Patreon Account" means the Axis Terminal membership page available on Patreon at https://www.patreon.com/cw/AXISbyFlorinRata.

"Platform" means the website https://www.axis-terminal.com/ and its subdomains.

"Platform Features" or "Services" means the functionalities, tools, content and other features made available to Users through the Platform, as further described in the Platform Features section of these Terms.

Pre-contractual Details

Eligibility. All Services are available only to persons who are at least 18 years of age or are otherwise considered as having full civil capacity of their rights according to the applicable national regulations.

Jurisdictional Restrictions. The Services provided by Axis Terminal may not be available in all jurisdictions. It is the sole responsibility of the User to ensure that accessing or using the Services is lawful under the laws applicable in their country of residence or nationality.

Subscription, Payment and Cancellation

Patreon Membership. Access to the Platform is available only to Users who maintain an active subscription through the Patreon Account. The available membership plans, subscription fees, billing periods and other applicable conditions are displayed on the Patreon Account. The User is responsible for reviewing and selecting the membership plan that best suits their needs.

Subscriptions and payments made through Patreon are also subject to the terms and conditions applicable on patreon.com.

Payments through Patreon. Subscription payments are processed through Patreon in accordance with the payment and billing conditions applicable on the Patreon platform. Axis Terminal does not directly process or store the User's payment card details.

Where the membership selected by the User is subject to automatic renewal, the subscription shall renew in accordance with the conditions accepted by the User through Patreon.

Role of Patreon. Patreon acts as the merchant of record in relation to subscription payments made through the Patreon Account. Accordingly, Patreon, and not Axis Terminal, is responsible for the processing and administration of such payments, including payment collection, billing, the issuance of invoices or other payment documentation, the calculation, collection and remittance of applicable taxes, including VAT, and the processing and administration of refunds, in each case in accordance with the terms, policies and procedures applicable on Patreon.

Axis Terminal does not control or independently process these payment-related activities and shall not be responsible for matters arising exclusively from Patreon's payment processing, billing, invoicing, tax or refund procedures.

Axis Terminal remains responsible for the provision and conformity of the Platform and the Platform Features, the information that Axis Terminal is required to provide in relation to the Services, and the handling of complaints concerning the operation, availability or use of the Platform. Any matter relating specifically to payment processing, billing, invoicing, VAT or refunds handled through Patreon shall be governed by Patreon's applicable terms, policies and procedures and should be addressed through the mechanisms made available by Patreon.

Account Activation. The User must first subscribe through the Patreon Account. Axis Terminal will manually verify that the User's Patreon subscription is active. Following such verification, the User may create an account on the Platform using the same email address associated with the Patreon Account and by setting a password.

The email address is used to link the User's Patreon subscription with the account created on the Platform. Access to the Platform remains conditional upon maintaining an active Patreon subscription. Activation of access to the Platform normally takes between 24 and 48 hours.

Active Membership Requirement. Access to and use of the Platform and the Platform Features are conditional upon maintaining an active subscription through the Patreon Account.

If the User's subscription expires, is cancelled, refunded or otherwise ceases to be active, Axis Terminal may suspend or terminate the User's access to the Platform and the Platform Features.

If the User subsequently renews the subscription, restoration of access to the Platform may require a new manual verification of the active subscription.

Personal Account. Each account is personal and may be used by one User only. The User may not share, transfer, resell or otherwise permit any third party to access or use their account.

The User is responsible for maintaining the confidentiality of their account credentials and for all activity carried out through their account.

Cancellation. The User may cancel their subscription using the cancellation mechanisms made available through Patreon and in accordance with the applicable Patreon terms.

Unless otherwise required by Applicable Law, cancellation of the subscription shall prevent its subsequent renewal and shall not affect access already granted for the subscription period already paid.

Suspension or Termination of Access. In addition to the cessation of an active subscription, Axis Terminal may restrict, suspend or terminate the User's access to the Platform or any Platform Feature where the User:

breaches these Terms;
uses the Platform unlawfully, fraudulently or abusively;
infringes the rights of Axis Terminal or any third party;
compromises or attempts to compromise the security, integrity or operation of the Platform; or
engages in any conduct prohibited under these Terms.

Any such measure shall be without prejudice to any other rights or remedies available to Axis Terminal under these Terms or Applicable Law.

Effects of Suspension or Termination. If the User's subscription expires, is cancelled, refunded or otherwise ceases to be active, Axis Terminal will suspend the User's access to the Platform and the Platform Features. The information associated with the User's account will remain stored in the account for a period of 18 (eighteen) months, so that, if the User subsequently renews the subscription, the account and the information previously stored therein may be restored.

The User's account may be deleted at the User's request, including through the account deletion option available on the Platform, if the User subscribes through Patreon using an email address different from the email address associated with the account on the Platform, or in case of abusive use of the Platform. In such cases, the account and the information stored therein will be deleted and will not be restored if the User subsequently creates or activates another account.

Information associated with the User's account may otherwise be retained or deleted in accordance with the Privacy Policy, Applicable Law and any applicable legal retention requirements.

Right of Withdrawal. The User's right of withdrawal is governed by the Consumer Protection Policy, which forms an integral part of these Terms.

Platform Features

Dashboard. The dashboard provides the User with an overview of information and functionalities available through the Platform, including market data, the User's portfolio and watchlist information, saved valuations, selected screening results, upcoming market events, educational content and other information made available through the Platform. Certain sections of the Dashboard may be personalised based on the information saved by the User within the Platform.

Companies and Search. The Platform allows Users to search for publicly traded companies by company name or ticker symbol and to access aggregated financial, market and company information available in relation to the relevant company.

Screener. The screener allows Users to identify companies by applying selected filters and criteria made available through the Platform, including sector, exchange, country, industry, market capitalisation, price and various valuation, growth, profitability, financial health, dividend and efficiency metrics. The results reflect the criteria selected by the User and are intended to facilitate the User's own research and assessment.

Company Research. Companies identified through the search function, screener, dashboard or other sections of the Platform may be accessed individually in order to view the information available for the relevant company. Depending on the available data, company pages may include, among others, company information, current and historical market data, financial statements and ratios, revenue and profitability information, dividends, valuation metrics, business quality and financial health indicators, as well as other analytical information made available through the Platform. Certain metrics may also be assessed against predefined Axis Terminal thresholds. The Platform may additionally allow Users to submit their own Buy / Hold / Sell sentiment regarding a company.

Compare. The compare functionality allows Users to view between two and four companies side by side based on the same fundamental, valuation, financial health and dividend metrics. The information is presented neutrally and no overall score or ranking is assigned between the compared companies. Any "Meets", "Borderline" or "Misses" indicators relate to the relevant company's value against the applicable Axis Terminal threshold and do not represent a comparative ranking between companies. Users may sort the available information and remain solely responsible for forming their own judgment. Figures displayed through this functionality are provided through Financial Modeling Prep.

Valuation. The valuation functionality allows Users to search for a company by name or ticker symbol and perform scenario-based valuation analyses over a five-year horizon. The Platform displays historical financial information as a reference point and allows the User to provide its own assumptions for Bear, Base and Bull scenarios, including assumptions relating to revenue growth, net margin, free cash flow growth, valuation multiples and share count. Based on the assumptions entered by the User, the Platform may calculate and display corresponding valuation outputs and an implied price range. Users may also save valuation scenarios within their account.

Calendar. The Calendar provides information regarding market-related events, including dividend ex-dates, dividend amounts, yields and payment dates, as well as recent company filings and regulatory disclosures, where available.

My Portfolio. The my portfolio functionality allows Users to record and monitor their investment holdings, including by manually adding positions or importing broker files. The Platform supports imports from the brokers listed on the Platform, while other formats may be processed on a best-effort basis. Imported data may include trades, dividends, fees and stock splits and may be used by the Platform to reconstruct holdings, realised profit and loss and transaction history. Users may also record cash balances and, when re-importing information, choose whether to replace previously imported information or add new transactions.

Watchlist. The watchlist allows Users to save companies they wish to follow and view selected information regarding such companies, including price, 52-week range, market capitalisation and valuation information. Companies may be added to the Watchlist from their respective company pages.

Calculator. The investment calculator allows Users to generate portfolio projections based on information and assumptions entered by them, including current portfolio value, investment period, monthly contributions, expected return and target amount. Where available, the User may synchronise the Calculator with My Portfolio and save a goal which may subsequently update based on changes to the relevant portfolio.

Education. The education section provides access to educational content made available by Axis Terminal and selected third-party educators. Such content may include free and paid courses. Where indicated on the Platform, Axis Terminal members may benefit from discounts in relation to certain paid courses offered by participating educators.

Guide. The guide provides Users with information regarding the structure, functionalities and intended use of the Platform and the Axis Terminal framework, including guidance on how to conduct company research, use the Screener, perform valuations, manage the Watchlist and My Portfolio and access educational resources.

Superinvestors. The superinvestors section displays portfolio information regarding selected well-known institutional investors, compiled from quarterly Form 13F filings publicly available through the U.S. Securities and Exchange Commission's EDGAR system, together with aggregated views across the tracked investors. Such information is historical and is published by the relevant filer with a regulatory delay, typically of at least 45 days after quarter end; it reflects only the positions reportable on Form 13F, and may be amended or restated by the filer.

Testimonials. The Platform allows Users to submit a testimonial for possible public display. By submitting a testimonial, the User consents to its publication on the Platform, including on publicly accessible pages, under the display name chosen by the User. Testimonials are published only after review by Axis Terminal, which may decline or remove any testimonial at its discretion. The User may withdraw a submitted or published testimonial at any time through the same form, after which it will no longer be displayed. Testimonials reflect the personal opinion and experience of the relevant member; they are not verified statements, are not representations of Axis Terminal, and do not constitute evidence that any result will be achieved by any other User.

Investor Card. The Platform provides each member with a personal, digital Investor Card displaying the member's serial number, a display name chosen by the member and selected statistics derived from the member's own activity and portfolio data. The member alone decides whether and with whom to share the card. Each card carries a QR code and link to a public verification page which confirms only whether the relevant serial number was issued, whether the corresponding membership is currently active, and the month in which the membership began; the page displays no name and no other personal data.

The Investor Card is provided for personal, non-commercial use. It does not constitute proof or certification of investment performance, qualification or expertise, and shall not be used to solicit, advise or induce any person to transact in financial instruments.

Updates. The updates section informs Users about new functionalities and changes made to the Platform.

Data Sources

Company and Market Data. All data and information displayed on the Platform in relation to companies and financial instruments, including, without limitation, company descriptions, market prices, market capitalisation, revenue, net income, margins, cash flow, financial statements, financial ratios, valuation multiples, dividend information, historical performance, ownership information and other financial or market-related metrics, are obtained from publicly available sources and/or third-party data providers and aggregators and are imported, processed and displayed through the Platform. Axis Terminal does not generate or independently verify the underlying financial or market data.

Third-Party Data. Certain data made available through the Platform is provided by third-party data providers, including Financial Modeling Prep. Such data may be delayed, incomplete, inaccurate or subsequently corrected by the relevant source or provider. Axis Terminal does not warrant the accuracy, completeness, timeliness or continued availability of any third-party data displayed through the Platform.

Portfolio Data. Any information displayed in the My Portfolio section is based on data provided by the User, either manually or through files uploaded by the User from a broker or other source. The Platform processes such information in order to display and calculate portfolio-related information, including holdings, transaction history, realised profit and loss, dividends, fees, cash balances and other related metrics. The accuracy and completeness of such information therefore depend on the accuracy, completeness and format of the data provided by the User.

Regulatory Filings and Currency Conversion. Certain information displayed in the superinvestors section is derived from public regulatory filings available through the U.S. Securities and Exchange Commission's EDGAR system. Where the Platform displays amounts converted between currencies, conversions are indicative, are based on published reference exchange rates (including European Central Bank reference rates) or other third-party rate sources, may be delayed, and are provided for convenience only.

Platform Limitations, No Investment Advice and User Warranties

Nature and Purpose of the Platform

The User expressly acknowledges and agrees that Axis Terminal is an educational and informational research platform intended to provide Users with access to financial and market information, research tools, analytical functionalities and educational materials for the purpose of conducting their own research and forming their own independent judgments.

Axis Terminal does not provide investment advice, portfolio management, investment recommendations, brokerage services, execution services or any other regulated investment service through the Platform.

In particular, Axis Terminal does not assess whether any financial instrument, investment strategy or transaction is suitable or appropriate for a particular User and does not make any personal recommendation based on the User's financial situation, investment objectives, knowledge, experience, risk tolerance or ability to bear losses.

Under MiFID II, investment advice involves the provision of a personal recommendation to a client in relation to transactions concerning financial instruments, while regulated advisers providing such advice are subject to specific suitability requirements. Nothing made available through the Platform is intended to constitute such a personal recommendation.

No Investment Recommendation

All information, data, indicators, thresholds, calculations, comparisons, ratings, scenarios, projections, educational materials and other content available through the Platform are provided solely for general informational, educational and research purposes.

Nothing available through the Platform shall be construed as:

investment, financial, legal, tax or other professional advice;
a recommendation or solicitation to buy, sell, subscribe for, hold or otherwise transact in any financial instrument;
a personal recommendation addressed to the User;
an assessment that any financial instrument, issuer, investment strategy or transaction is suitable or appropriate for the User;
a representation that any investment, strategy, portfolio allocation or financial instrument will achieve any particular result; or
an invitation, offer or solicitation to enter into any investment transaction.

The User remains solely responsible for assessing any information available through the Platform and for obtaining independent professional advice where appropriate before making any financial or investment decision.

No Guarantee of Investment Outcome

Axis Terminal makes no representation, warranty or undertaking, whether express or implied, regarding any investment result or outcome.

In particular, Axis Terminal does not guarantee:

any profit, return, dividend, yield, capital appreciation or other financial benefit;
that any company, financial instrument or investment strategy will perform in accordance with historical information, projections, estimates or expectations;
that any valuation displayed or calculated through the Platform reflects, or will reflect, the current or future market value of any financial instrument;
that any financial instrument identified through the Platform will increase in value or avoid losses; or
that the use of the Platform, any Axis Terminal framework or any functionality available through the Platform will result in successful investment decisions.

Past performance, historical financial information, historical valuation multiples and other historical data displayed through the Platform do not constitute a representation or guarantee of future performance.

Independent Investment Decisions

The User expressly acknowledges that all investment decisions are made solely by the User and at the User's own discretion and risk.

Axis Terminal does not know and does not assess the User's complete financial circumstances, investment objectives, investment horizon, knowledge and experience, liquidity needs, risk tolerance or ability to sustain losses. Consequently, information and outputs displayed through the Platform should not be treated as appropriate or suitable for any particular User merely because they are displayed within the User's account or are generated using information entered by that User.

The availability of portfolio-related information, saved companies, watchlists, personalised dashboard elements or other User-specific information does not transform the Platform into an investment advisory or portfolio management service.

Company Research and Axis Terminal Thresholds

Certain sections of the Platform may organise or assess company information by reference to predefined Axis Terminal criteria, frameworks or thresholds and may display indicators such as "Meets", "Borderline" or "Misses".

The User acknowledges that such indicators are mechanical or framework-based outputs and do not constitute a Buy, Hold or Sell recommendation, investment rating or assessment of the overall quality or investment attractiveness of a company.

A company satisfying one or more Axis Terminal thresholds may nevertheless perform poorly, lose value, become insolvent or otherwise constitute an unsuitable investment for a particular User. Conversely, failure to satisfy a threshold does not mean that a company or financial instrument should be sold or avoided.

Where the Platform requires subjective judgment, the User remains solely responsible for reaching such judgment.

Search and Company Coverage

Axis Terminal does not represent or warrant that the company search functionality contains, identifies or provides information regarding every company, issuer, security, exchange, market or financial instrument that may exist or otherwise fall within the general scope of the Platform.

Search results depend on the information, identifiers, coverage and data made available to the Platform by its underlying data sources and technical providers. A company or financial instrument may therefore be unavailable, incorrectly identified, duplicated, delayed or omitted from search results.

The absence of a company or financial instrument from the Platform shall not be interpreted as any statement, assessment or recommendation by Axis Terminal regarding such company or financial instrument.

Screener Limitations

The screener generates results based solely on the filters selected by the User and the data available to the Platform at the relevant time.

Axis Terminal does not warrant that:

all companies satisfying the selected criteria will be identified;
every company included in the results actually satisfies the relevant criteria at all times;
the underlying information used for filtering is complete, current or error-free;
the selected criteria are appropriate for identifying investment opportunities; or
companies identified through the screener constitute suitable, attractive or recommended investments.

Screener results are not rankings, recommendations or endorsements by Axis Terminal. The User must independently review any company identified through the screener before making any investment decision.

Compare Functionality

The Compare functionality is intended exclusively to present selected information regarding multiple companies in a common format.

The order, presentation, sorting or comparison of companies does not constitute a ranking, recommendation or statement that one company represents a better investment than another.

Any "Meets", "Borderline" or "Misses" indicator displayed within the Compare functionality relates exclusively to the relevant company's data against the applicable predefined Axis Terminal threshold and shall not be interpreted as a comparative investment assessment.

Valuation Tools and Scenarios

The User expressly acknowledges that the valuation functionality is based on assumptions and inputs selected or accepted by the User and produces hypothetical, forward-looking scenarios.

Bear, Base and Bull scenarios, implied prices, projected growth rates, expected returns, valuation multiples and any other outputs generated through the valuation functionality are mathematical or analytical results derived from the relevant assumptions and available underlying data.

Axis Terminal does not warrant that any assumption, scenario, implied price, expected return or other valuation output will materialise or correspond to the actual future price, value or performance of any company or financial instrument.

The possibility to pre-fill assumptions using historical information or other information available through the Platform does not constitute an endorsement by Axis Terminal of those assumptions or a representation that historical trends will continue.

Investment Calculator and Projections

Any calculations, projections, targets or scenarios generated through the investment calculator are hypothetical and depend on the information and assumptions entered or selected by the User, including expected returns, contribution amounts, investment periods and portfolio values.

The User acknowledges that expected returns are assumptions only and that actual investment returns may be materially different, including negative.

A calculated probability, projection, target value, estimated time period or other output shall not constitute a guarantee that the User will achieve any financial objective.

My Portfolio

The my portfolio functionality is provided solely as a tracking and informational tool and does not constitute portfolio management, investment advice, investment monitoring on behalf of the User or any recommendation to maintain, acquire or dispose of any holding.

Portfolio calculations depend on the data entered, uploaded or otherwise supplied by the User and on the manner in which such data is processed by the Platform. Axis Terminal does not warrant that imported broker files will be processed without errors or that holdings, transaction history, profit and loss, dividends, fees, performance figures, benchmarks or other portfolio-related calculations will exactly correspond to the records maintained by the User's broker, custodian, bank or other financial institution.

The User remains responsible for verifying all portfolio information against the official records of the relevant broker, custodian or financial institution.

Watchlist and Personalisation

Adding a company to the watchlist, displaying a company on the dashboard, presenting portfolio information, highlighting market events or otherwise personalising information based on the User's activity does not constitute a recommendation, endorsement or suggestion by Axis Terminal to purchase, hold, sell or otherwise transact in any financial instrument.

Any personalisation available through the Platform is intended solely to organise and display information relevant to selections or information previously provided by the User.

Market Events and Calendar

Information displayed through the calendar regarding dividends, filings, payment dates, ex-dates or other company or market events is provided for informational purposes only.

Axis Terminal does not warrant that the calendar contains every relevant event or filing, that any displayed event will occur on the indicated date, or that information regarding such event has not subsequently been amended, postponed, cancelled or corrected by the issuer, authority, exchange or relevant data provider.

Users should verify any information that may be relevant to an investment or other financial decision directly against the relevant issuer, regulatory filing, exchange or other official source.

Educational Content and Third-Party Educators

Educational materials available or accessible through the Platform are provided solely for educational and informational purposes.

The inclusion of a course, educator, methodology, opinion, external resource or third-party content within the Education section does not transform such material into personalised investment advice provided by Axis Terminal.

Where content is provided by a third party, the opinions, statements, methodologies and conclusions expressed therein belong to the relevant third party unless expressly stated otherwise.

Any discount, promotional code or other benefit offered to Axis Terminal Users in relation to third-party educational content does not constitute an endorsement or guarantee by Axis Terminal of any investment result arising from such content.

Member Sentiment, Community Statistics and User-Generated Assessments

Where the Platform displays Buy / Hold / Sell sentiment or other views submitted by Users, such information reflects opinions expressed by individual Users and not by Axis Terminal.

Axis Terminal does not adopt, verify or endorse such User sentiment and it shall not be relied upon as investment advice or as a representation of the future performance of any financial instrument.

The number of Users holding, watching, rating or otherwise interacting with a company does not constitute evidence of the quality, suitability or expected performance of that company or its securities.

The Platform may additionally display aggregated, anonymised statistics regarding how the community of Users uses the Platform, such as the companies most frequently viewed, held or added to watchlists. Such statistics are descriptive of past activity on the Platform only, do not identify any individual User, and shall not be interpreted as a recommendation, ranking or indication of the quality or expected performance of any company or financial instrument.

Superinvestors Information

The User acknowledges that the tracked investors have no affiliation with Axis Terminal, that the display of any investor, holding, transaction or consensus view does not constitute a recommendation or endorsement by Axis Terminal or by the relevant investor, and that no displayed position is represented to remain held at the time of display. Superinvestor information shall not be relied upon as investment advice or as a representation of the future performance of any financial instrument.

Availability, Errors and Technical Limitations

Axis Terminal does not warrant that the Platform, any particular functionality or any information available through it will be continuously available, uninterrupted, secure, accurate or error-free.

The Platform may be affected by maintenance, technical failures, software errors, delayed third-party data, connectivity issues, provider outages, changes to underlying data sources or other circumstances beyond Axis Terminal's reasonable control.

Features may also be modified, suspended, restricted or discontinued from time to time, subject to Applicable Law.

User Verification of Information

The User shall not rely exclusively on the Platform when making an investment or other material financial decision.

The User is responsible for independently verifying information considered material to a decision, including, where appropriate, against financial statements, regulatory filings, issuer announcements, exchange information, broker information and other official or authoritative sources.

Where the User requires advice taking into account their personal circumstances, the User should obtain advice from an appropriately authorised professional.

User Warranties

By accessing or using the Platform, the User represents and warrants that:

the User understands that Axis Terminal is a research, informational and educational platform and not an investment advisory or portfolio management service;
the User will not interpret any information, output, threshold, rating, comparison, valuation, projection, Screener result or educational material as a personal recommendation;
the User is solely responsible for any investment or financial decision taken following the use of the Platform;
the User understands that investing in financial instruments involves the risk of partial or total loss of invested capital;
the User will independently assess and, where appropriate, verify information before relying upon it for any material decision;
the User will not represent to any third party that Axis Terminal has recommended, endorsed or approved any investment, company, security, portfolio or transaction; and
the User will use the Platform solely for the purposes permitted under these Terms and in accordance with Applicable Law.

Limitation of Liability

To the maximum extent permitted by Applicable Law and without prejudice to any rights or remedies that cannot lawfully be excluded or limited, Axis Terminal, its directors, employees, contractors and service providers shall not be liable for losses arising solely from an investment or financial decision made by the User in reliance on information, calculations, projections, analytical outputs or other content made available through the Platform.

In particular, subject to the limitations imposed by Applicable Law, Axis Terminal shall not be liable for any loss arising from:

changes in the price or value of any financial instrument;
investment losses, lost profits, lost investment opportunities or failure to achieve an expected return;
reliance on hypothetical valuations, projections, scenarios or calculated outputs;
incomplete, delayed, inaccurate or unavailable third-party data;
errors or omissions in search, Screener, Compare, Calendar, Watchlist or other research functionalities;
inaccurate or incomplete information provided or uploaded by the User in connection with My Portfolio;
decisions made on the basis of User sentiment, educational materials or third-party content; or
temporary interruption, modification or unavailability of the Platform or any functionality thereof.

Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under Applicable Law.

Without prejudice to the foregoing provisions of this Section, where the liability of Axis Terminal is engaged, to the maximum extent permitted by Applicable Law, the aggregate liability of Axis Terminal towards any User, arising out of or in connection with the Platform, the Platform Features, these Terms or the provision of the Services, whether in contract, tort or otherwise, shall not exceed the total amount paid by that User for the Services during the calendar year in which the event giving rise to such liability occurred.

Technical Partners, Third-Party Providers and External Services

Certain Platform Features may rely on, incorporate, display information obtained from, or otherwise interact with third-party services, data providers, infrastructure providers, websites or platforms.

Where the User accesses or uses a third-party website, platform, product or service through or in connection with the Platform, the terms and conditions, privacy policies and other rules applicable to that third party may also apply.

Axis Terminal does not control and is not responsible for the availability, operation, security, accuracy, content, terms, privacy practices or performance of any third-party provider, website, platform or service.

The User acknowledges and agrees that Axis Terminal shall not be responsible or liable, to the maximum extent permitted by Applicable Law, for any loss, damage, interruption, delay, error or other consequence arising from or in connection with:

the unavailability, malfunction or discontinuation of any third-party service or infrastructure used in connection with the Platform;
inaccurate, incomplete, delayed or unavailable information supplied by third-party data providers;
any content, products or services made available by third parties;
any action or omission of a third-party provider; or
the User's use of, or reliance upon, any third-party website, platform, content, product or service.

The inclusion of, connection to, or availability of any third-party service through the Platform does not constitute an endorsement, recommendation or guarantee by Axis Terminal regarding such third party or its products or services.

Restrictions

During the use of the Platform and the Platform Features, the User represents and warrants that the User shall at all times:

comply with all Applicable Laws and regulations, as well as these Terms;
refrain from infringing the rights, legitimate interests or privacy of any third party;
refrain from using the Platform in any manner that may interfere with, disrupt, damage, overload or otherwise adversely affect the Platform, the Platform Features or the use thereof by other Users;
refrain from attempting to gain unauthorised access to any part of the Platform, any User account, system, database or network connected to the Platform;
refrain from identifying, probing, scanning, testing or exploiting any vulnerability of the Platform, the Platform Features or any third-party systems or services integrated with or used in connection with the Platform;
refrain from circumventing or attempting to circumvent any access control, authentication, security, technical or usage restriction implemented in connection with the Platform;
refrain from scraping, harvesting, extracting, copying, reproducing, redistributing or otherwise using data or content from the Platform except as expressly permitted under these Terms;
refrain from reverse engineering, decompiling, disassembling or otherwise attempting to derive the source code, underlying structure, algorithms or technical components of the Platform, except to the extent such restriction is prohibited by Applicable Law;
refrain from using automated systems, bots, scripts or similar technologies to access or interact with the Platform without Axis Terminal's prior written consent;
refrain from using the Platform or any Platform Feature for any unlawful, fraudulent, abusive or harmful purpose.

Axis Terminal may take reasonable measures to identify, prevent and investigate suspected violations of these Terms or misuse of the Platform. Where Axis Terminal reasonably determines that a User has violated these Terms or Applicable Law, Axis Terminal may, subject to Applicable Law and without prejudice to any other rights or remedies available to it:

restrict, suspend or terminate the User's access to the Platform or any Platform Feature;
block or disable activities or functionality associated with the User's account;
remove or restrict access to information or content submitted by the User where necessary;
preserve relevant information where required for the investigation or enforcement of a violation;
report conduct or information to competent public authorities where required or permitted by Applicable Law; and
take any other reasonable measure necessary to protect the Platform, other Users, third parties or Axis Terminal's legitimate interests.

It is strictly prohibited to undertake any action or activity which directly or indirectly violates these Terms, facilitates the violation of these Terms by another person, or uses the Platform in connection with illegal activities or with the purpose of causing harm to Axis Terminal, another User or any third party.

Indemnification

The User agrees to indemnify, defend and hold harmless Axis Terminal, its affiliates, contractors, licensors, service providers and their respective directors, officers, employees and agents from and against any claims, actions, proceedings, investigations, demands, liabilities, losses, damages, costs and expenses, including reasonable legal fees, fines or penalties imposed by any competent authority, arising out of or in connection with:

the User's access to or use of the Platform or any Platform Features;
any breach by the User of these Terms;
any violation by the User of Applicable Law or of the rights or legitimate interests of any third party; or
any unlawful, fraudulent, abusive or otherwise prohibited conduct carried out through or in connection with the Platform.

To the extent permitted by Applicable Law, Axis Terminal shall have the right to assume control of the defence or conduct of any action, proceeding or claim subject to indemnification under this Section and to determine, in its reasonable discretion, whether and on what terms such matter may be settled.

Intellectual Property Use

The User acknowledges that all intellectual property rights in and to the Platform and the Platform Features, including, without limitation, its software, source code, interface, design, structure, databases, text, graphics, visual elements, trademarks, logos, methodologies, frameworks, calculations, analytical models, thresholds, research materials, reports, analyses, charts, tables, presentations and any educational or informational materials made available through the Platform, irrespective of their format or manner of presentation, are and shall remain the exclusive property of Axis Terminal or, where applicable, its licensors.

The User shall not acquire, by virtue of accessing or using the Platform or any Platform Feature, any right, title, licence or other interest in or to such intellectual property, except for the limited right to use the Platform in accordance with these Terms.

Without the prior written consent of Axis Terminal, the User may not copy, reproduce, record, download, modify, adapt, translate, distribute, publish, transmit, disclose, display, communicate to the public, make available, resell, sublicense, commercialise or otherwise exploit, in whole or in part, any content, material or element available through the Platform, including any educational materials, research, analyses, charts, graphics, screenshots, methodologies, frameworks or other proprietary content.

The User expressly acknowledges that access to substantial parts of the Platform and its content is made available behind a paid-access model and that the unauthorised mass distribution, systematic sharing or republication of materials obtained from the Platform may cause significant commercial and financial harm to Axis Terminal, including by undermining the paid-access nature and economic value of such content. Any User who engages in such unauthorised distribution, sharing or republication shall be liable, subject to Applicable Law, for the full amount of the damage caused to Axis Terminal as a result of such conduct, without prejudice to any other rights or remedies available to Axis Terminal under these Terms or Applicable Law.

Any materials or information submitted or uploaded by the User through the Platform shall remain the property of the User or of the relevant rights holder. To the extent necessary for the operation of the Platform and the provision of the Platform Features, the User grants Axis Terminal a limited, non-exclusive, royalty-free and revocable licence to use, reproduce, process and display such materials solely for those purposes.

This licence does not transfer ownership of the User's materials and does not confer upon Axis Terminal any rights beyond those strictly necessary to operate the Platform and provide the Platform Features in accordance with these Terms.

We may make changes to our Terms

We might change, add or remove parts of these Terms at any time and in our sole discretion. Every time you wish to use our site, please check these terms to ensure you understand the terms that apply at that time.

We will notify such changes by simply updating the terms on our Platform and modifying the "Last revised" date displayed on this page.

All modifications or changes to these terms will become effective upon publication on the Platform or release to users.

It is your responsibility to review the amended Terms. Your continued use of the Platform Features following the changes to the Terms, you accept and agree to the changes, and that all subsequent activity performed by you will be subject to the amended Terms.

We may transfer this agreement to someone else

The transfer of rights and obligations arising from these Terms and / or the use of the Platform is subject to our prior written consent.

You expressly agree that we may unilaterally transfer all rights and obligations that may be stemming from these Terms without your consent.

Which country's laws apply to any disputes?

The relationship between the Users and us and any disputes arising from the use of the Platform and/or its Features shall be governed by and construed in accordance with the Applicable Law, without giving effect to any principles of conflicts of law. Any legal action or proceeding related to this website shall be brought exclusively in the competent courts as per the Applicable Law.

To the maximum extent permitted by the Applicable Law, any invalid or unenforceable term or provision of these Terms shall not affect the validity or enforceability of the remaining terms and provisions thereof or the validity or enforceability of the offending term or provision in any other situation. To the maximum extent permitted by the Applicable Law, you and us, acting in good-faith, shall attest the nullity or unenforceability of the respective term or provision and shall replace it by a valid or enforceable term or provision which most accurately reflects the economic and legal purpose of the invalid or unenforceable term or provision.
